Terms of Service

Effective date: April 1, 2026

1. Agreement

These Terms of Service govern the relationship between KrishivLabs (“we”, “us”) and clients (“you”) who engage our development services. By signing a project proposal or paying an invoice, you agree to these terms.

2. Services

We provide software development services including AI app development, RAG chatbot development, LLM integrations, automation pipelines, full-stack web development, and production fixes as described in individual project proposals.

Each project is governed by a written proposal that specifies scope, deliverables, timeline, and price. Work outside the agreed scope requires a written change request and amended proposal.

3. Payment

Projects are billed on a fixed-price basis per the agreed proposal. Standard payment schedule: 50% upfront to begin work, 50% upon delivery. Projects over $10,000 may use milestone-based billing as specified in the proposal.

Invoices are due within 14 days of issuance. Overdue invoices may result in work being paused until payment is received. We accept bank transfer, Wise, and major credit/debit cards via Stripe.

4. Intellectual Property

Upon receipt of final payment, you own 100% of all deliverables — source code, documentation, designs, and any other work product created specifically for your project.

We retain ownership of any pre-existing code, libraries, or tools we bring to the project. Where we use open-source libraries, those remain subject to their original licenses. We will disclose any open-source dependencies and their licenses in the project handoff.

5. Confidentiality

We treat all client information as confidential. We will not disclose your project details, business information, or technical specifications to third parties without your written consent. We are happy to sign a mutual NDA before project commencement — just ask.

6. Client Responsibilities

To keep projects on track, clients agree to:

  • Provide timely feedback at agreed review checkpoints (within 3 business days)
  • Supply necessary access, credentials, and content in a timely manner
  • Designate a single point of contact for approvals
  • Notify us promptly of any changes to requirements

Delays caused by client unavailability may result in revised timelines at no additional cost to the client.

7. Warranty

We provide a 7-day warranty on all delivered work. During this period, we will fix any bugs or defects caused by our code at no additional charge. This warranty does not cover new features, changes in scope, or issues caused by third-party services or client modifications.

8. Limitation of Liability

Our total liability for any claim arising from services provided shall not exceed the total amount paid for the project in question. We are not liable for indirect, incidental, or consequential damages, including lost profits or data loss, even if advised of the possibility of such damages.

9. Termination

Either party may terminate a project engagement with 7 days’ written notice. In the event of termination, you will pay for all work completed up to the termination date. If you terminate within the first 7 days after kickoff, the upfront deposit is non-refundable.

10. Governing Law

These terms are governed by the laws of India. Any disputes will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to binding arbitration before resorting to litigation.
